These Terms of Use (hereinafter referred to as the "Terms") and Privacy Policy and Refund Policy govern the usage of the My Universal TV Remote Control and My Heart Rate Monitor applications (hereinafter referred to as the "Apps"), developed by Auxulity Inc., so please carefully review them before utilizing the Apps.

By utilizing the My Universal TV Remote Control or My Heart Rate Monitor applications, you consent to adhere to these Terms. If you do not agree to abide by these Terms, refrain from using the Apps. If you are using the Apps on behalf of an organization (such as your employer), you consent to these Terms on behalf of said organization and affirm that you have the authority to bind the organization to these Terms. In such a scenario, the terms "you" and "your" will refer to the organization.

We, Auxulity Inc., retain the right to revise these Terms periodically. Changes may be communicated within the Apps, thus we advise regular checking for updates.

Service Specifics: My Heart Rate Monitor

My Heart Rate Monitor is a convenient application designed to help you understand and improve your heart health without additional devices. It allows you to measure your Heart Rate (HR) using your smartphone camera and track key metrics, including Blood Pressure and Heart Rate Variability (HRV), to gain useful insights into your condition.

Core Features:

  • Real-time HR measurement using the smartphone camera.
  • Tracking of stress levels and HRV trends.
  • Automatic synchronization with Apple Health & Fitness for comprehensive analysis.
  • Personalized AI insights for training, recovery, and daily heart health.

Apple Health & Fitness (HealthKit) Synchronization: With your consent, the application securely syncs with Apple Health & Fitness (HealthKit) to combine workout data and cardio metrics. By combining camera measurements with data from Apple Watch and other Health sources, the app forms a complete picture of your training load and recovery. We synchronize the following data:

  1. Workouts (HKWorkout): Type (e.g., running, cycling, strength), start/end time, duration, active energy (calories), distance, pace/speed, and elevation gain (if available), along with associated HR time series during exercise.
  2. Cardio and Recovery: Heart Rate (resting, walking average, day/night series), HRV (e.g., SDNN/RMSSD within HealthKit data), VO₂ max / Cardio Fitness (if available), Heart Rate Recovery (calculated from time series), and Blood Pressure (systolic/diastolic from Health or connected devices).
  3. Body Parameters and Personal Data: Height (for zone calibration and normalization), Body Mass/Weight, Body Mass Index (BMI — locally calculated), Body Fat Percentage (if available), Lean Body Mass (if available), Waist Circumference (optional), Date of Birth (for age estimation), and Biological Sex (used for VO₂ max context and pulse zones).

AI Data Usage: Our AI technology processes this data to provide the following:

  1. Signal Cleaning and Data Fusion: Combines camera measurements with HealthKit streams; reduces artifacts; synchronizes timelines of workouts, sleep, and daily activity.
  2. Personalization and Normalization: Calibrates pulse zone limits and intensity targets based on age and max-HR tests; normalizes training load "per kg" and contextualizes VO₂ max based on age/sex; scales recovery and hydration tips based on recent load and body parameters.
  3. Training Load Modeling: Calculates the intensity of each workout (time in zones) and load (e.g., TRIMP-like scores).
  4. Cardio Fitness and Recovery Insights: Analyzes trends in VO₂ max, resting HR, HRV, and heart rate recovery; identifies significant deviations (e.g., elevated resting HR + lowered HRV) that may indicate fatigue, illness, or high stress.
  5. Personalized Recommendations: Provides pre-workout target zones, post-workout cooldown and hydration advice, and weekly progressive load or deload suggestions.
  6. Progress Feedback: Explains health trends in plain language.

Data Processing & Subscription Services

Certain versions of My Universal TV Remote Control and My Heart Rate Monitor available on the Apple App Store and Google Play Store offer subscription-based access. Payment for such a subscription (which may be, for example, daily, weekly, monthly, or yearly) may be processed within the app, by third parties acting on our behalf, or directly by the mobile platform owner (e.g., Apple and Google). Free trial subscriptions may be canceled at any point up to 24 hours before the trial period ends (Apple), or at any time before the trial period concludes (Google). You can cancel a subscription service at any time during the subscription period via the subscription settings in your iTunes and Android account. The cancellation will take effect after the last day of the relevant subscription period. Further information on canceling orders and associated refunds can be found on the website of the third-party reseller from which you purchased the app (e.g., the Apple App Store, the Google Play Store).

Trial Periods

Some of our subscription services available on the Apple App Store, Google Play Store may periodically offer fixed trial periods. You are free to cancel a free trial subscription at any time via the subscription settings in your iTunes, Android.

Your Information and Responsibilities

To use the Apps, you have the option to create an account, either through the app itself or via your account with a third-party service such as Google or Apple. In the latter case, your account will be established using the information you provided to that service, such as your name, email address, and other personal information accessible to us based on your privacy settings within that service.You may use the Apps only if you are 14 years of age or older and are not prohibited from doing so under applicable law.It is your responsibility to safeguard the password used to access the Apps. You are liable for any activity occurring on your account, regardless of whether you authorized it. Any unauthorized use of your account should be promptly reported to Auxulity Inc.By using the Apps, you provide us with text, graphics, images, and other information (referred to as "your content"). You retain complete ownership of your content. Auxulity Inc. does not assert any ownership rights over your content. However, you are solely responsible for your content. You confirm that you own or have the necessary rights to all of your content and that its use does not infringe upon, misappropriate, or violate any third party's intellectual property rights, rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Intellectual Property Rights

Auxulity Inc. and its licensors exclusively own the Apps, including all associated intellectual property rights. You acknowledge that the Apps are protected by copyright, trademark, and other laws. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights or notices incorporated in or accompanying the Apps.

Auxulity Inc. grants you a limited, non-exclusive, non-transferable license to view, copy, and display the Apps solely in connection with your permitted use of the Apps.

General Prohibitions

You agree not to engage in, or attempt to engage in, any of the following activities:

  • Test the security vulnerabilities of any systems or networks associated with the Apps or breach any security or authentication measures.
  • Access, tamper with, or use non-public areas of the Apps, their computer systems, or the technical delivery systems of their providers.
  • Attempt to decipher, decompile, disassemble, or reverse engineer any software used to provide the Apps.
  • Interfere with or attempt to interfere with the access of any user, host, or network, including transmitting viruses, overloading, flooding, spamming, or mail-bombing the Apps.
  • Access or search the Apps or download any intellectual property from them using any unauthorized means, including spiders, robots, crawlers, data mining tools, or similar mechanisms.
  • Distribute malware or use the Apps for malware distribution.
  • Send unsolicited communications, promotions, advertisements, or spam.
  • Transmit altered, deceptive, or false source-identifying information, including engaging in spoofing or phishing.
  • Post or transmit fraudulent, misleading, or infringing content that violates the rights of others.
  • Impersonate or falsely represent your affiliation with any individual or entity.
  • Violate the privacy of others.
  • Violate any applicable laws or regulations.
  • Encourage or facilitate any other person to engage in any of the above activities.

Although we are not obligated to monitor access to or use of the Apps or your content, or to review or edit any of your content or the intellectual property of other users, we reserve the right to do so to operate the Apps, ensure compliance with these Terms, or comply with applicable laws or legal requirements. We may remove or disable access to any of your content at any time and without notice if, at our sole discretion, we determine that any of your content is objectionable or violates these Terms. We also reserve the right to investigate violations of these Terms or conduct that affects the Apps and may cooperate with law enforcement authorities to prosecute users who violate the law.

DMCA/Copyright Policy

We respect copyright law and expect you to do the same. It is our policy to terminate accounts that repeatedly infringe or are believed to repeatedly infringe the rights of copyright holders. If you believe that an Auxulity Inc. product infringes your copyright, please contact the copyright agent at app@auxility.ca.

Termination

We reserve the right to suspend the Apps or terminate your access to and use of the Apps at our sole discretion, at any time and without notice to you.
For example, we may suspend or terminate your use if you fail to comply with these Terms, or use the Apps in a manner that could expose us to legal liability or disrupt others' use of the Apps. If we suspend or terminate your use, we will attempt to notify you in advance and assist you in retrieving data. However, there may be cases (such as repeated or flagrant violations of these Terms, a court order, or danger to other users) where we may suspend immediately. You may cancel your account at any time by sending an email to app@auxility.ca.

Warranty Disclaimers

The Apps or our licensors' intellectual property are provided "as is," without warranty of any kind. Without limiting the foregoing, we explicitly disclaim any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement, as well as any warranties arising out of course of dealing or usage of trade.We make no warranty that the Apps will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We also make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any of our intellectual property.

Medical Disclaimer for My Heart Rate Monitor: The My Heart Rate Monitor application is intended for fitness and informational purposes only. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The heart rate, blood pressure, HRV, and other metrics provided are estimates and should not be relied upon for medical decisions. Always seek the advice of a physician or other qualified health provider with any questions you may have regarding a medical condition.

Indemnity

You will indemnify and hold harmless Auxulity Inc. and its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Apps or our licensors' intellectual property; (ii) your content; or (iii) your violation of these Terms.

Limitation of Liability

Neither Auxulity Inc. nor any other party involved in the development, production, or delivery of the Apps, including our licensors, shall be held liable for any incidental, special, exemplary, or consequential damages, including but not limited to loss of profits, data, or reputation, service interruptions, computer damage, system failure, or the cost of alternative services, arising from or related to these Terms or the use of the Apps or the intellectual property of our licensors. This applies regardless of whether such damages are based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and even if Auxulity Inc. has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

In no event shall Auxulity Inc.'s total liability arising from or related to these Terms or the use of the Apps or access to your content exceed the amounts you have paid to Auxulity Inc. for their use. The limitations of liability stated herein are fundamental elements of the agreement between Auxulity Inc. and you.

Governing Law

These Terms of Service shall be governed by and construed in accordance with international laws, including the rules of the Internet, which apply universally to all users of the application, regardless of their location.

General Terms

These Terms represent the complete agreement between you and Auxulity Inc., supplanting any previous agreements or understandings, whether written or verbal, concerning the topics covered herein. In the case of your involvement in a Business Agreement with Auxulity Inc., whether before or after reviewing these Terms, the terms of the Business Agreement shall take precedence over any conflicting provisions contained herein. Should a court of competent jurisdiction find any part of these Terms to be invalid or unenforceable, the remaining sections shall remain valid and enforceable.

You are prohibited from assigning or transferring these Terms without prior written consent from Auxulity Inc. Any attempt to do so without such consent will be considered ineffective. Auxulity Inc. retains the right to assign or transfer these Terms without any restrictions. However, these Terms will bind and benefit the parties, their successors, and permitted assigns.Any notices or communications from Auxulity Inc., including modifications to these Terms, will be delivered via email or posted on our website. Notices sent via email will be considered received upon transmission.

Failure by Auxulity Inc. to enforce any provision of these Terms does not waive its rights. Any waiver of a provision must be in writing and signed by an authorized representative of Auxulity Inc. The exercise of any remedy by either party does not preclude other remedies available under these Terms or at law.
